Kyle Pasewark


Kyle leads the firm’s transactional practice. His transactional expertise is critical to our private clients as well, especially those whose immediate personal and family matters involve sensitive negotiations that affect their medium and long term business and financial prospects. Kyle is also integral to the Firm’s risk and crisis management practice. Kyle has counseled a wide variety of clients including private and public companies, private equity firms, hedge funds, entrepreneurs and high net worth individuals. His representations have included: enterprise-level risk management for public companies; leading financial and organizational restructuring; successfully negotiating with clients in regulatory and insurance matters, including securities compliance; acting as “general counsel” for portfolio companies and other companies without appropriate internal legal resources; negotiating public offerings; and closing transactions with enterprise values ranging from over $6 billion to $30 million.

Kyle’s practice is supported by his ability to customize typical financial metrics in light of the legal and other risk-sensitive environments, and his focus on financial risk-and-reward metrics. He makes the basis of his recommendations clear and accessible for clients, regardless of the complexity of the relevant legal and financial concepts. This allows our clients to fully understand the strategic and tactical advice we give, helps them anticipate and prevent unnecessary problems, as well as making likely legal and financial outcomes of possible courses of action fully transparent. Kyle’s transactional and finance-centered approach makes him a superb negotiator for our business and private clients’ interests. His strategic and tactical judgment prepares our clients for successful litigation and pre-litigation settlement. Although not a litigator, Kyle led litigation defeating the New York State Attorney General.

Kyle’s transactional expertise makes him an especially effective manager of teams of legal, financial, accounting and other non-legal professionals that are often required to optimally resolve the multi-dimensional issues our private, institutional and corporate clients face, which often include business effects of matters arising from personal and family circumstances.

Kyle is a Yale Law School J.D. After graduating from Yale, Kyle had the pleasure of working for nearly a decade at Debevoise & Plimpton LLP. Before beginning his legal career, he obtained his Ph.D. in theology with highest honors from The University of Chicago, and was a college professor and the author of several books.
